Welcome to AsronsWorld Ltd, trading as Asronax (Company No. 17284591), registered at 128 City Road, London EC1V 2NX. These Terms and Conditions govern your use of our website, platform, and the purchase of our services, including AI automation, AI workforce agents, web design, web development, software development, and digital marketing. By engaging our services, you agree to these Terms. If you are entering into this agreement on behalf of a business, you confirm you have the authority to bind that entity.

1. Our Services

Asronax develops AI-powered business solutions, including:

  • AI Automation
  • AI Workforce platforms
  • AI Chatbots
  • Workflow Automation
  • CRM Integrations
  • Lead Management Systems
  • Software Development
  • SaaS Applications
  • Web Applications
  • API Integrations
  • Business Process Automation
  • Digital Transformation Consulting

Some services are subscription-based while others are delivered under separate Statements of Work (SOW), project agreements or quotations. We may improve, modify or discontinue features where reasonably necessary.

2. Account Registration

Where an account is required, you agree to:

  • Provide accurate information.
  • Keep your login credentials secure.
  • Notify us immediately of unauthorised access.
  • Accept responsibility for activities under your account.
  • Be at least 18 years old.
  • Have authority to act on behalf of your organisation where applicable.

3. Structure of Fees and Payments

Setup and One-off Fees: All custom setup work, initial web design, software development, and AI agent configuration require a managed set fee. Work begins only after the initial deposit or full setup fee is cleared.

Monthly Recurring Retainers: Maintenance, hosting, AI model monitoring, and digital marketing services are billed as a monthly recurring retainer.

Billing Cycle: Retainers are billed automatically in advance every 30 days via our payment processors (Stripe or Wise).

Late Payments: If payment fails or is delayed by more than 7 days, we reserve the right to temporarily suspend your AI agents, software hosting, and active marketing campaigns without liability.

4. Acceptable Use

You agree not to:

  • Break any applicable law.
  • Upload malicious software.
  • Interfere with our systems.
  • Attempt unauthorised access.
  • Reverse engineer our software.
  • Infringe intellectual property rights.
  • Use AI services to generate unlawful, harmful or deceptive content.
  • Misuse personal data in breach of UK GDPR or other applicable privacy laws.

Violation of these Terms may result in suspension or termination without refund.

5. Intellectual Property (IP) Rights

Bespoke Deliverables: Upon full payment of all outstanding setup fees, ownership of custom website front-ends, custom software code, and specific digital marketing assets transfers to the client.

Platform & AI Architecture: Asronax retains all intellectual property rights, ownership, and core code for our underlying AI frameworks, proprietary workflow automations, and AI agent architectures. Clients are granted a non-exclusive, non-transferable license to use these systems during their active subscription.

6. AI and Third-Party Dependencies

API Dependencies: Our AI workforce agents and automations rely on third-party language models and APIs (e.g., OpenAI, Anthropic). We are not responsible for service outages, changes in pricing, or modifications to features made by these third-party platforms.

Accuracy: AI outputs are predictive and intended for automation assistance. While we optimize system prompts, we do not guarantee 100% accuracy of automated AI communications or outputs.

Artificial Intelligence systems may generate inaccurate, incomplete or unexpected outputs. You remain responsible for reviewing and validating all AI-generated content before relying upon it for business decisions, legal advice, medical advice, financial advice or regulatory compliance. Our AI services assist human decision-making and do not replace professional judgement.

7. Data Protection

Where we process personal data on your behalf, you act as the Data Controller and Asronsworld Ltd acts as the Data Processor. Both parties agree to comply with UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations (PECR). Customers remain responsible for obtaining appropriate consent from their own users where required.

8. Availability and Service Levels

We aim to provide reliable services and commercially reasonable availability. Enterprise customers may receive separate Service Level Agreements (SLAs). Scheduled maintenance may occasionally affect availability. We are not responsible for outages caused by third-party infrastructure providers beyond our reasonable control.

9. Confidentiality

Both parties agree to keep confidential information secure and use it only for the purpose of delivering or receiving the agreed services.

10. Security

We implement appropriate technical and organisational measures, including:

  • Encrypted communications (TLS)
  • Role-based access controls
  • Audit logging
  • Regular security reviews
  • Incident response procedures

While we employ industry-standard safeguards, no online service can guarantee absolute security.

11. Limitation of Liability

To the maximum extent permitted by UK law, AsronsWorld Ltd / Platform / Asronax shall not be liable for any indirect, incidental, or consequential damages, including loss of business profits, data corruption, or operational downtime caused by AI systems or software updates.

We shall not be liable for:

  • Indirect losses
  • Loss of profits
  • Loss of business opportunities
  • Reputational damage
  • Consequential losses

Nothing in these Terms excludes liability for:

  • Fraud
  • Fraudulent misrepresentation
  • Death or personal injury caused by negligence
  • Any liability that cannot legally be excluded

12. Force Majeure

Neither party shall be liable for delays or failure caused by events beyond reasonable control, including:

  • Natural disasters
  • Government action
  • War
  • Pandemics
  • Internet failures
  • Cloud provider outages
  • Power failures

13. Suspension and Termination

You may cancel subscriptions according to your selected plan.

We may suspend or terminate accounts where:

  • Payment remains outstanding
  • These Terms are materially breached
  • Unlawful activity is detected
  • Platform security is threatened

Following termination, your access will cease. Where applicable, customers may request an export of their data within the retention period stated in our Privacy Policy.

14. Changes to Services

We continually improve our products. We may introduce new features, retire older functionality or update pricing with reasonable notice where required. Continued use following the effective date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage customers to contact us first so disputes may be resolved amicably.
